The MainPower Trust is the organisation which holds the shares of MainPower New Zealand Limited. The Trust has seven Trustees. Trustee elections are held every three years and Trustees are elected by the qualifying customers of MainPower.
The enactment of the Energy Companies Act 1992 required MainPower to become a company with a clear ownership structure and a Company Establishment Plan was developed for this purpose.
The MainPower Trust was established on 24 October 1995 to hold in trust the qualifying customers' and community's entitlement until such time as a distribution was made, and this is the situation right through to the present day. It was agreed MainPower's qualifying customers would be entitled to 80% of the MainPower Trust Fund including the ordinary shares that the Trust held in MainPower. The community as a whole would be entitled to the remaining 20%.
By law, the MainPower Trust must be wound up no later than 25 April 2073. The MainPower Trust assets will, unless there has been a distribution and the Trust wound up at an earlier date, vest in a charitable trust that will be known as the MainPower Foundation.

The Board of Directors is responsible for overseeing the activities of MainPower and governing the company
Tony joined as a Director in August 2016 and appointed Chairman in July 2017.
Tony has extensive experience in senior operational and corporate management roles, as an independent consultant and over 15 years as a company director.

Graeme joined as a Director of MainPower in August 2016 and is a member of the Board's Remuneration Committee.
Graeme is currently General Manager of Hanmer Springs Thermal Pools and Spa, working closely with the complex owner Hurunui District Council, to promote the local region as a significant tourism destination.

Janice joined as a Director of MainPower in August 2016 and is Chair of the Board's Audit and Risk Committee.
Janice is a professional director with a broad portfolio of current and past directorships, extensive executive experience and is a chartered accountant.
Other directorships: Maritime New Zealand, Credit Union South, Hurunui Tourism Board, Lincoln University Council, NZ Shipwreck Welfare Trust (Trustee).
Fraser joined as a Director of MainPower in August 2018.
Fraser is the current CEO of Pioneer Energy, a position held since 2010. He has more than 25 years’ experience in the energy sector as energy consultant in South Africa before moving to New Zealand and being involved in the distribution, generation and retail environment in both New Zealand and Australia.
Other directorships: Pulse Energy, Ecotricity, Southern Generation Partnership, Ecotricity and Dairy Creek Irrigation Partnership.
Stephen joined as a director of MainPower in September 2008 and is a member of the Asset Management Steering Group and Remuneration Committee.
Stephen is a company director and business consultant with over 45 years’ experience in the electricity supply industry. He has held governance positions in the commercial and not for profit sectors. He has previously held executive and senior operational roles in the UK, US and South America. Stephen is a Chartered Member of the Institute of Directors.

Brian joined as a director of MainPower in August 2018 and is a member of the Audit and Risk Committee.
Brian is an experienced professional director with extensive consulting experience. He is also a Chartered Fellow of the Institute of Directors and holds a Master of Business Administration (Otago).
Other directorships: Brian is Chairman of Canterbury Linen Services Ltd, Delta Utility Services, Invercargill City Holdings Ltd, Buller Holdings Ltd and also the Oversight Group for the construction of the highway and rail line from Picton to Christchurch. He is a director of Lyttleton Port Company Ltd and Harrison Grierson Holdings Ltd.
Our Executive Team head up the nine divisions of MainPower, overseen by Chief Executive Andy Lester.
Andy was appointed Chief Executive of MainPower in late 2017. Andy’s focus has been on resetting the business to strengthen MainPower to better enable the team to deliver the Asset Management Plan and position MainPower for growth in the future.

Mark joined MainPower in 2016. The focus for Mark’s team is on maintaining public safety, delivering on the projects detailed in the Asset Management Plan and preparing the network for the future.

Sarah joined MainPower at the end of 2018. Sarah’s team is responsible for organising the financial and accounting affairs of the Company and the provision of strategic advice to managers to assist with ongoing decision making.
SAFETY & BUSINESS RISK MANAGER
Karen joined MainPower in 2018. Her team’s mission is to ‘empower safety’ at MainPower. They are improving the links between critical risk, incidents and work as done. The team is also focussed on increasing environmental awareness and lessening MainPower’s impact on the environment.
CHIEF INFORMATION OFFICER
Geoff joined MainPower in 2016. Geoff’s team is focussed on empowering the company for success. They do this through delivering a range of technological solutions while driving best practice.

Penny joined MainPower in 2018. Leading the newly formed Customer and Corporate Relations team, her focus is on improving the customer experience and continuing to support North Canterbury through our community and sponsorship activities.

Sandra has been leading MainPower’s People and Culture team since 2011. Her team’s focus is on providing a fair and supportive work environment where the highest levels of competency are maintained and personal development is encouraged for all employees.
GENERAL MANAGER FIELD SERVICES
Doug joined MainPower in 2020. He came from an extensive background in operational leadership and management, having spent 24 years in the New Zealand Police. Most recently, Doug has worked at the Lyttleton Port Company as the Container Terminal Manager, leading over 300 staff in a 24/7 operation.
